By accessing or using our services, including but not limited to the following Windsock services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Our services include:
• Aircraft valuation and verified value reports
• Aircraft tracking and portfolio management
• Registry lookups and research tools
• Avionics search and reference data
• Letter generation services
• Fuel analysis tools
• Enterprise API access
• AI agent functionality
• Premium subscription features

2. Nature of Services
Windsock is a Business-to-Business Software-as-a-Service (B2B SaaS) provider that delivers market data, statistical analysis, and insights to participants in the aviation industry. Our platform aggregates, processes, and analyzes data from multiple sources to provide informational tools and market intelligence.

What Windsock Provides:
• Market data aggregation and normalization from third-party sources
• Statistical modeling and machine learning algorithms to identify value patterns and relationships
• Comparable aircraft identification based on multiple characteristics
• Adjustment factor analysis showing how specific features impact market prices
• Market trend analysis including historical and projected value trends
• Confidence metrics and uncertainty quantification
• Aircraft tracking and portfolio management tools
• Registry lookups and research tools
• Avionics search and reference data
• Fuel price analysis and predictions
• Flight pattern analysis and categorization
• Enterprise API access for programmatic data retrieval

What Windsock Does NOT Provide:
• Windsock is NOT a broker, dealer, or intermediary in aircraft transactions. We do not facilitate, negotiate, or participate in aircraft sales or purchases.
• Windsock is NOT an insurer or insurance provider. We do not provide insurance products, coverage, or insurance-related advice.
• Windsock is NOT a certified appraiser. Our valuation estimates are statistical predictions based on market data and models, not certified appraisals. Our data is provided for informational purposes only.
• Windsock is NOT a lender, financial advisor, or investment advisor. We do not provide lending services, financial planning, or investment advice.
• Windsock is NOT a legal advisor. We do not provide legal advice, representation, or legal services.
• Windsock does not physically inspect aircraft, verify aircraft condition, or authenticate aircraft documentation.
• Windsock does not guarantee the accuracy, completeness, or timeliness of third-party data sources.
• Windsock does not provide professional services requiring licensure, certification, or professional qualifications.

3. License and Access
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our services for your internal business purposes, subject to these Terms.

4. Prohibited Uses
You agree not to:
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying structure of our services, except to the extent expressly permitted by applicable law.
• Use our services to develop, directly or indirectly, any product or service that competes with our offerings.
• Access or use our services if you are, or are affiliated with, a company that offers substantially similar products or services, unless expressly authorized in writing by us.
• Use automated means, such as bots or scrapers, to access our services without our prior written consent.
• Use our services in any manner that could damage, disable, overburden, or impair our servers or networks.
• Misrepresent Windsock data, valuations, or estimates as certified appraisals, professional opinions, or guaranteed values.
• Use Windsock data as the sole basis for certified appraisals without independent verification and professional judgment by a qualified appraiser.
• Use Windsock data as the basis for insurance claims without obtaining a professional appraisal from a qualified appraiser.
• Use Windsock data in legal proceedings without proper authentication, verification, and disclosure of its nature as statistical estimates rather than certified appraisals.
• Present Windsock valuations or estimates in any manner that implies they are guaranteed, certified, or professionally appraised values.

5. Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are the exclusive property of Windsock and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of our services without our prior written consent.

6. Data Sharing and Marketing Communications
When you provide consent to receive marketing communications (such as by checking the marketing consent box during registration), you agree that Windsock may share your contact information and profile data with third-party marketers, brokers, aircraft dealers, and other service providers in the aviation industry.

These third parties may contact you directly using the information you have provided, including but not limited to your name, email address, phone number, and company information. This sharing enables these parties to reach out to you about products, services, or opportunities that may be of interest to you.

You may withdraw your consent to such data sharing at any time by updating your preferences in your account settings or by contacting us at team@windsock.ai. Upon withdrawal of consent, we will cease sharing your information with new third parties, though information already shared may continue to be used by those parties in accordance with their own privacy policies.

7. Termination
We reserve the right to suspend or terminate your access to our services at our sole discretion, without notice, if we believe you have violated these Terms.

8. Vendor Partners, Lead Referrals & Third-Party Services
8.1 By opting in through our service, you expressly authorize Windsock.ai (the "Platform") to share your information—including your name, company, contact details, aircraft information, location, and project/service needs—with selected third-party aviation service providers including aircraft brokers, insurance brokers, finance brokers, maintenance providers, mechanics, A&Ps and other aviation-related professionals ("Vendor Partners"). You may withdraw this consent at any time by contacting Windsock.ai, but such withdrawal will not affect information already shared with Vendor Partners prior to our receipt of your withdrawal.

8.2 Vendor Partners are independent third parties and are neither employees nor agents of the Platform. The Platform does not control, supervise, or direct the actions or omissions of Vendor Partners. Accordingly, the Platform is not responsible for their actions, the quality of their services, their compliance with applicable laws or regulations, their pricing, or outcomes. Any agreement for services is strictly between you and the applicable Vendor Partner.

8.3 Windsock.ai may receive referral fees, commissions, or other compensation from Vendor Partners when users are referred or matched. You acknowledge that while the Platform may be compensated for referrals, such compensation does not increase the cost to you unless otherwise explicitly stated by the Vendor Partner. The Platform does not assume fiduciary duties on behalf of users or Vendor Partners.

8.4 The Platform makes no guarantee that you will be matched with a Vendor Partner, contacted by a Vendor Partner, or that any Vendor Partner will accept you, provide services, complete a job, or achieve any particular outcome. You must independently verify the qualifications, credentials, licensure, insurance coverage, and performance of any Vendor Partner before engaging them.

8.5 By opting in, you consent to receive communications from Vendor Partners, including via email, telephone and SMS/text message (standard messaging/data rates may apply). Vendor Partners may have their own privacy, communications and service policies, which are independent of the Platform.

8.6 You agree to provide accurate and complete information for the purpose of lead-matching, and to comply with all applicable laws, regulations and industry standards when engaging Vendor Partners. You further agree to indemnify and hold harmless Windsock.ai and its affiliates from any claim, dispute or damage arising from your use of any Vendor Partner's services or your interaction with Vendor Partners.

8.7 To the fullest extent permitted by Ohio law, Windsock.ai, its affiliates, and their respective owners, officers, directors, employees and agents shall not be liable for any acts, omissions, errors, or negligence of Vendor Partners, or for any direct, indirect, incidental, special, consequential or punitive damages arising out of or related to services provided by Vendor Partners. Your exclusive remedy for dissatisfaction with the Platform's lead-sharing service is discontinuing your use of the Platform.

9. Data and Valuation Disclaimers
Valuations Are Estimates, Not Appraisals: All aircraft valuations, price estimates, and value predictions provided by Windsock are statistical estimates based on machine learning models and aggregated market data. These are NOT certified appraisals, professional opinions of value, or guaranteed prices. Valuations are provided for informational purposes only and should not be relied upon as the sole basis for any transaction, decision, or legal proceeding.

Market Data Limitations: Market data provided by Windsock is aggregated from multiple third-party sources, including government databases, marketplace listings, and other public and proprietary sources. While we make best efforts to ensure data quality, we cannot guarantee the accuracy, completeness, timeliness, or reliability of this data. Data may contain errors, omissions, or inaccuracies from source systems.

Forecasts Are Predictions, Not Guarantees: Market forecasts, trend predictions, and future value projections are statistical predictions based on historical patterns and economic indicators. These forecasts are not guarantees of future performance, actual market values, or outcomes. Market conditions can change rapidly and unpredictably, and actual results may differ significantly from forecasts.

Confidence Intervals and Uncertainty: Windsock provides confidence intervals, uncertainty metrics, and statistical indicators to help users understand the reliability of our estimates. These metrics indicate statistical uncertainty and model confidence, but they do not guarantee outcomes or protect against losses. High confidence levels do not eliminate risk or guarantee accuracy.

Independent Verification Required: Users should not rely solely on Windsock data for critical business decisions, financial transactions, legal proceedings, or insurance purposes. Users are strongly advised to:
• Verify data accuracy through independent sources
• Obtain certified appraisals from qualified appraisers for important transactions
• Consult with qualified professionals (lawyers, financial advisors, insurance agents) as appropriate
• Conduct independent due diligence before making significant decisions
• Use Windsock data as one tool among many in their decision-making process

Logbook Analysis Disclaimer: Windsock's logbook analysis, logbook explorer, and related logbook review features are provided for informational and research assistance purposes only. These tools are NOT to be relied upon as the sole or primary basis for any decision, transaction, or legal proceeding. Logbook analysis is purely an aid to assist users in their research and is NOT a replacement for:

• Professional aircraft inspection by qualified mechanics or inspectors
• Independent verification of logbook entries and documentation
• Expert analysis by certified aircraft appraisers or maintenance professionals
• Legal review of aircraft documentation and compliance status
• Due diligence conducted by qualified professionals

Users must conduct their own independent research and verification. Windsock makes no warranty or guarantee regarding the accuracy, completeness, timeliness, or reliability of logbook analysis results. Logbook analysis may contain errors, omissions, or inaccuracies due to factors including but not limited to: OCR (optical character recognition) errors, incomplete or illegible source documents, data processing limitations, or misinterpretation of logbook entries. Users bear full responsibility for all decisions, actions, and consequences resulting from their use of or reliance on logbook analysis features. Logbook analysis should be used as one tool among many in a comprehensive research and due diligence process, not as a substitute for professional judgment or independent verification.

10. No Professional Advice
Windsock provides data, statistical analysis, and market insights. Windsock does NOT provide professional advice of any kind, including but not limited to:

• Legal advice or legal services
• Financial planning or investment advice
• Insurance advice or insurance services
• Certified appraisals or professional valuation services
• Tax advice or tax preparation services
• Business consulting or strategic advice
•Any advice requiring professional licensure, certification, or qualifications

All data, valuations, forecasts, and insights provided by Windsock are informational only. Users should consult qualified professionals for:

• Legal matters: Consult licensed attorneys for legal advice, contract review, or legal representation
• Financial planning: Consult licensed financial advisors or certified financial planners for investment and financial planning advice
• Insurance decisions: Consult licensed insurance agents or brokers for insurance coverage and claims
• Certified appraisals: Engage qualified, certified appraisers for official appraisals required for transactions, insurance, or legal purposes
• Tax advice: Consult certified public accountants or tax attorneys for tax planning and compliance

Windsock's services are tools to assist professionals and market participants in their work, but they do not replace the need for qualified professional advice when making important decisions.

11. User Responsibilities and Indemnification
User Responsibilities: You are solely responsible for:
• Verifying the accuracy and completeness of data obtained through our services through independent sources
• Making your own independent business decisions and judgments
• Complying with all applicable laws, regulations, and industry standards in your use of our services
• Obtaining appropriate professional advice (from appraisers, lawyers, financial advisors, etc.) when making important decisionsUsing our services in a manner that complies with all applicable laws and regulations
• Ensuring that your use of our services does not violate any third-party rights
• Maintaining the security and confidentiality of your account credentials
• All decisions, actions, and consequences resulting from your use of Windsock data and services

No Reliance: You acknowledge and agree that you are using Windsock's services at your own risk and that you will exercise independent judgment in evaluating and using any data, valuations, forecasts, or insights provided by Windsock. You agree not to rely solely on Windsock data for any critical decision without independent verification and professional consultation as appropriate.

Indemnification: You agree to defend, indemnify, and hold harmless Windsock, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

•Your use of or reliance on Windsock's services, data, valuations, or insights
• Any decisions, actions, or consequences resulting from your use of Windsock data
•Your violation of these Terms of ServiceYour violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights
• Any losses, damages, or claims arising from aircraft transactions, business decisions, financial losses, or other real-world consequences of using Windsock data
• Your misrepresentation of Windsock data as certified appraisals, professional opinions, or guaranteed values
• Any claims by third parties arising from your use of Windsock servicesThis indemnification obligation will survive the termination of these Terms and your use of the services.

12. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Windsock disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that our services will be uninterrupted, error-free, secure, or available at all times
• Warranties regarding the accuracy, completeness, timeliness, or reliability of any data, valuations, forecasts, or insights
• Warranties that valuations, estimates, or predictions will be accurate, correct, or reflect actual market values
• Warranties that market forecasts or trend predictions will be accurate or reflect future market conditions
• Warranties regarding the accuracy or reliability of third-party data sources
• Warranties that our services will meet your specific requirements or expectations
• Warranties that any errors or defects in our services will be corrected

Best Effort, No Guarantees: While Windsock makes best efforts to provide accurate, timely, and useful data and insights, we make no guarantees, representations, or warranties regarding:
• The accuracy or completeness of any data, valuations, or market intelligence
• The reliability of statistical models or predictions
• The suitability of our services for any particular purpose
• The outcomes or results of using our services
• The accuracy of third-party data sources or government databases

Valuation Estimates Are Not Appraisals: All aircraft valuations, price estimates, and value predictions are statistical estimates based on models and market data. They are NOT certified appraisals, professional opinions of value, or guaranteed prices. Windsock makes no warranty that any valuation will reflect actual market value, transaction price, or appraised value.

Forecasts Are Not Guarantees: Market forecasts, trend predictions, and future value projections are statistical predictions, not guarantees. Windsock makes no warranty that forecasts will be accurate or that future market conditions will match predictions.

You acknowledge that you are using our services at your own risk and that you have not relied on any warranty, representation, or guarantee from Windsock except as expressly set forth in these Terms.

13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WINDSOCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES arising out of or related to your use of our services, including but not limited to:
• Loss of profits, revenue, business opportunities, or goodwill
• Loss of data or information
• Cost of substitute services
•Financial losses resulting from using valuation data, market insights, or forecastsLosses from aircraft purchase, sale, or transaction decisions
• Investment losses or missed investment opportunities
• Business decision losses or strategic planning losses
• Insurance claim denials or disputes
• Legal fees, court costs, or litigation expenses
• Any other economic or commercial losses

Real-World Decisions and Consequences: Windsock shall not be liable for any losses, damages, or consequences resulting from:
• Decisions made based on Windsock data, valuations, or insights (you bear full responsibility for all decisions)
• Financial losses from using valuation data in transactions, negotiations, or business decisionsBusiness decisions made using market insights, forecasts, or trend analysis
• Aircraft purchase or sale decisions based on Windsock valuations or market dataInvestment decisions based on market forecasts or trend predictions
• Any real-world consequences, losses, or damages resulting from reliance on Windsock services
• Inaccurate valuations, forecasts, or data (even if due to errors in our systems or models)
• Changes in market conditions that differ from forecasts or predictions

Confidence Intervals and Uncertainty Metrics: Windsock provides confidence intervals, uncertainty metrics, and statistical indicators to help users understand the reliability of estimates. These metrics indicate statistical uncertainty and model confidence, but they do not create any warranty, guarantee, or liability. Windsock is not liable for outcomes that fall outside confidence intervals or for any losses resulting from reliance on these metrics.

Liability Cap: To the fullest extent permitted by applicable law, Windsock's total liability to you for any and all claims arising out of or related to your use of our services, regardless of the form of action or theory of liability (whether in contract, tort, strict liability, or otherwise), shall not exceed the total amount of fees you paid to Windsock in the twelve (12) months immediately preceding the date on which the claim arose, or one hundred dollars ($100), whichever is greater.

No Liability for Third-Party Data: Windsock aggregates data from multiple third-party sources, including government databases, marketplace listings, and other public and proprietary sources. Windsock is not liable for any errors, inaccuracies, omissions, or defects in third-party data sources, even if such data is incorporated into our services.Essential Basis of Agreement: You acknowledge and agree that the limitations of liability set forth in this section are an essential basis of the agreement between you and Windsock, and that Windsock would not provide the services to you without these limitations.Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, Windsock's liability will be limited to the fullest extent permitted by applicable law.

14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

15. Changes to Terms
We may update these Terms from time to time. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
